Terms of Service

1. About these terms
AUSTER is a trading name of Overlord Group Holdings Pty Ltd (ABN 85 693 455 819), an Australian company with its registered office at Office 3981, Ground Floor, 470 St Kilda Road, Melbourne VIC 3004. In these terms, "we", "us" and "our" mean Overlord Group Holdings Pty Ltd trading as Auster; "you" means the person or business engaging us.
By engaging us to design or build a website — whether through our enquiry form, by email, or by confirming a brief — you accept these terms. They apply to every project unless we agree something different with you in writing.
2. Our services & plans
We design and build websites. We offer three build plans:
- Starter — $499. A single-page site, with one round of revisions.
- Growth — $799. A site of up to five pages, with two rounds of revisions.
- Premium — $1,299. A fully custom build, including e-commerce, with revisions for 14 days after the preview is delivered.
All prices are in Australian dollars and inclusive of GST where applicable. If your project falls outside these plans, we'll quote it separately in writing before any work begins.
3. The process
Every project follows the same path:
- You send us your brief through our form or by email.
- We confirm the scope of the project back to you by email. This confirmation defines what we're building.
- We design and build your site.
- We deliver a private preview link so you can see the finished site.
- You request revisions, per the allowance in your plan.
- You approve the site in writing.
- We issue our invoice, you pay it, and we launch the site or hand it over to you.
4. The 3-day promise
We promise your site in 3 days — or it's free. Here is exactly what that means:
- The promise is a 72-hour delivery window for your site's preview.
- The clock starts only when both of these have happened: (a) we have received all required content and materials from you — text, images, logos and anything else the brief calls for — and (b) we have confirmed the brief by email.
- If we're waiting on you — for missing content, answers to questions, or access we need — the clock pauses until we have what we need.
- If we miss the 72-hour deadline through our own fault, your plan's build fee is waived in full.
- "Free" means our build fee only. It never includes third-party costs such as domain names, hosting, paid plugins or software licences, which remain payable regardless.
5. Approval & payment
We don't take deposits. You pay only after you've approved the finished site.
- Once you approve the site in writing, we issue our invoice.
- Payment is due within 7 days of the invoice date.
- Until we've been paid in full, the site and all intellectual property in it remain our property.
- On payment in full, we launch the site or transfer it to you, and ownership passes as set out in clause 10.
- Where the site matches the agreed brief, approval may not be unreasonably withheld or delayed.
6. Revisions & scope
A revision round covers refinements to the site we built against the agreed brief — adjusting copy, swapping images, tweaking layout, colour and styling. It's there to polish, not to rebuild.
New features, additional pages, or anything else beyond what we confirmed in the brief is a scope change. We're happy to do it — we'll just quote it separately in writing before we start.
7. Abandoned projects
Projects only work when we can reach you. If you're unresponsive for 30 days — no replies to our emails, no feedback on the preview — we may close the project.
If that happens, you owe us nothing. Equally, because nothing has been paid for, you may not use any of the unpaid work we produced — designs, code or content — in any form.
8. Care Plan terms
The Care Plan is a $99-per-month add-on, available only for sites we built. It includes a dedicated team member, uptime monitoring and priority support. These terms also apply:
- You get up to four change requests per calendar month. Unused requests don't roll over to the next month.
- A change request is a content or styling update of up to roughly one hour's work. Anything larger is quoted separately before we proceed.
- Requests are actioned within one business day.
- The plan is billed monthly in advance.
- You can cancel at any time; cancellation takes effect at the end of the current billing period, and you keep the service until then.
- We may discontinue the Care Plan by giving you 30 days' written notice.
9. Your responsibilities
To hold up our end — especially the 3-day promise — we need you to hold up yours:
- Provide content, materials and feedback promptly when we ask for them.
- Make sure you own, or are properly licensed to use, everything you supply to us — text, images, logos, fonts and anything else. You're responsible for any claim that arises from material you provided.
- Make sure any claims about your business that appear on your site — pricing, qualifications, offers — are accurate. It's your site and your business; we build it, but we can't verify your claims for you.
10. Intellectual property
Once you've paid in full, ownership of the final site design and its content transfers to you. Two things are excluded from that transfer:
- Third-party and licensed components — such as fonts, plugins, stock imagery or platform software — which stay subject to their own licence terms.
- Our pre-existing tools and code libraries, which remain ours. You receive a licence to use them as part of your site, for your site.
We may showcase completed work in our portfolio and marketing. If you'd prefer we didn't show yours, just tell us and we won't.
11. Third-party services
Your site usually depends on services we don't control — domain registration, hosting, e-commerce platforms, email providers and the like. Unless we agree otherwise in writing, these are your own accounts and your own costs, and each provider's terms apply between you and them. We can help you set them up, but we're not responsible for their performance, pricing or availability.
12. Australian Consumer Law
Our services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these terms excludes, restricts or modifies those rights, or any other right you have under law that cannot be excluded.
Beyond those non-excludable rights, our total liability to you in connection with any service is capped at the amount you paid us for that service, and we are not liable for indirect or consequential loss — such as lost profits, lost revenue or lost data — however it arises.
13. General
- These terms are governed by the laws of Victoria, Australia, and the courts of Victoria have jurisdiction over any dispute.
- If any clause of these terms is found to be unenforceable, the remaining clauses continue in full effect.
- We may update these terms from time to time. Changes apply to new engagements; the version in force when you engaged us governs your project.
