Terms of Service

1. About these terms

AUSTER is a trading name of Overlord Group Holdings Pty Ltd (ABN 85 693 455 819), an Australian company with its registered office at Office 3981, Ground Floor, 470 St Kilda Road, Melbourne VIC 3004. In these terms, "we", "us" and "our" mean Overlord Group Holdings Pty Ltd trading as Auster; "you" means the person or business engaging us.

By engaging us — through our enquiry form, by email, or by confirming a proposal — you accept these terms. They apply to every engagement unless we agree something different with you in writing. All prices on our website are shown in Australian dollars inclusive of GST unless stated otherwise; displayed conversions to other currencies are indicative only, and every invoice is issued in AUD.

2. Our services

We offer two ways of working together:

• Growth plans — monthly subscriptions (Starter, Growth, Scale, and Partner by proposal) bundling a website, hosting, advertising management, local SEO, AI-produced video advertising, the Auster Growth Portal and monthly reporting, as itemised on our pricing page at the time you join. Your plan's inclusions are confirmed in your onboarding email — that written list is the definitive scope.
• Website services — a one-off website build, and the optional monthly Care Plan for hosting and upkeep.

Optional add-ons (extra videos, managed Instagram outreach, online ordering, landing pages, business email) are itemised on the pricing page and confirmed in writing when you add them.

3. The build-first promise

Every growth plan, and every one-off website build, starts with us building your new website before you pay anything for it:

• We confirm your brief in writing, then design and build the site and send you a private preview.
• On a growth plan, your subscription starts on the day you approve the site in writing. The one-off onboarding fee (clause 6) is invoiced at the same time. If you decide not to proceed before approval, you owe us nothing.
• On a one-off build, we invoice on your written approval; payment is due within 7 days. You owe nothing before approval.
• Where the site matches the agreed brief, approval may not be unreasonably withheld or delayed.
• Because unapproved work hasn't been paid for, it may not be used in any form if you don't proceed.
• One-off builds include two consolidated revision rounds — each round is one written list of refinements against the agreed brief. Growth-plan builds are refined during onboarding on the same basis.

4. Growth plan deliverables

• AI video ads. Your plan includes the monthly number of videos listed on the pricing page. A video is a short-form vertical advertisement of up to 30 seconds, scripted, voiced, produced, captioned and delivered in 1080p (Scale includes two 4K videos monthly), with one revision round per video and full paid-usage rights for your business. Unused videos don't roll over. Content is AI-produced and human-reviewed; where an advertising platform requires AI-content disclosure, we apply it.
• Advertising management. We build and manage campaigns inside your own Meta and/or Google ad accounts, per your plan. Your advertising budget is paid by you directly to the platforms and is never included in, or routed through, our fees. Plans include management up to the monthly spend cap listed on the pricing page; spend above the cap is managed at 10% of the excess. We manage advertising diligently, but we do not guarantee specific results, costs-per-lead, rankings or revenue — no honest provider can.
• Website updates. An update is a task of up to 30 minutes — text, images, hours, menu or price edits, adding an offer. Plans include the monthly number and start-time listed on the pricing page (start-times are business days from our written confirmation). On Scale, "unlimited" means fair use: one request in progress at a time, next-business-day starts. New pages, features and redesigns are quoted separately before work begins.
• Reporting & portal. You receive portal access and a monthly report. Portal analytics are first-party measurements and may differ from other tools' figures.
• The deliverables guarantee. Your plan lists exactly what ships each month. If we fail to deliver a listed deliverable in a calendar month through our own fault, that month's plan fee is waived. This guarantee covers our deliverables — not third-party platform behaviour or advertising outcomes.

5. Billing, term & cancellation (growth plans)

• Plans are billed monthly in advance in AUD (direct debit or card via our payment provider), starting on site approval. Quarterly billing is available and waives the onboarding fee.
• There are no lock-in contracts. Cancel with 30 days' written notice; service continues to the end of the notice period.
• Website ownership on a growth plan: your domain and your content are always yours. The website itself becomes yours outright after 12 consecutive months on any growth plan. If you cancel earlier and want to keep the site, you may buy it out for $1,490 minus $125 for every full month you've paid; otherwise you can keep it live by moving to the Care Plan.
• We may adjust plan pricing with 60 days' written notice; changes take effect at your next renewal after the notice period.
• If an invoice remains unpaid 14 days after its due date, we may pause services until it's settled.

6. Onboarding fee

Growth plans carry a one-off onboarding fee of $490 inc. GST, covering initial setup: tracking, ad accounts, Google Business Profile, portal provisioning and campaign planning. It is waived when you start on quarterly billing, and it is only invoiced on site approval — never before.

7. Care Plan terms

The Care Plan is $199 per month inc. GST, available for sites we built or migrated in. It includes hosting, SSL, security, daily backups, uptime monitoring, maintenance, a monthly site-health report and up to three content updates per calendar month (tasks up to 30 minutes each; unused updates don't roll over). Larger work is quoted separately. Billed monthly in advance; no lock-in — cancel anytime effective at the end of the billing period. We may discontinue the plan with 30 days' written notice. Clients who joined the Care Plan under earlier pricing keep their existing rate for the period we've confirmed to them in writing.

8. Add-on terms

• Managed Instagram outreach is delivered with a specialist partner. It is engagement outreach, not a follower guarantee; results vary with niche, content and platform behaviour. Social platforms may change rules or restrict accounts at their discretion — you acknowledge this platform risk, and we monitor actively and pause the service if a platform flags concerns. Requires written authorisation for account access before we begin.
• Online ordering is delivered on white-labelled restaurant-ordering infrastructure with local setup and support by us. Payment processing runs through your own payment account (e.g. Stripe), and processor fees are yours. Order limits per tier are listed on the pricing page; sustained volume above your tier moves you to the next tier from the following month, and we'll tell you before that happens. Courier delivery (where enabled) is charged per delivery by the courier network and passed through at cost.
• Add-ons are billed monthly with your plan and can be cancelled with 30 days' notice, independent of the plan.

9. Your responsibilities

• Provide content, materials, account access and feedback promptly when we ask for them — turnarounds and start-times pause while we're waiting on you.
• Make sure you own or are licensed to use everything you supply, and that claims about your business — pricing, qualifications, offers — are accurate. You're responsible for claims arising from material or instructions you provide.
• Advertising accounts, domain names and other third-party accounts are registered in your name; keep billing details with those providers current.

10. Intellectual property

On full payment (one-off builds) or as set out in clause 5 (growth plans), ownership of the final site design and its content transfers to you. Excluded from transfer: third-party and licensed components (fonts, plugins, stock and licensed music, platform software), which stay subject to their own licences; and our pre-existing tools and code libraries, which remain ours — you receive a licence to use them as part of your site, for your site. Videos we produce for you are yours to use in your marketing in perpetuity. We may showcase completed work in our portfolio and marketing; if you'd prefer we didn't show yours, tell us and we won't.

11. Third-party services & AI tools

Your marketing depends on services we don't control — Meta, Google, TikTok, hosting and domain providers, payment processors, delivery networks and AI production tools. Their terms apply between you and them; we're not responsible for their performance, pricing, availability or policy decisions. We use AI systems in producing content and reports; everything client-facing is reviewed by a human before it ships.

12. Australian Consumer Law

Our services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these terms excludes, restricts or modifies those rights, or any other right you have under law that cannot be excluded.

Beyond those non-excludable rights, our total liability in connection with any service is capped at the amount you paid us for that service in the three months before the event giving rise to the claim, and we are not liable for indirect or consequential loss — such as lost profits, lost revenue or lost data — however it arises.

13. General

• These terms are governed by the laws of Victoria, Australia, and the courts of Victoria have jurisdiction over any dispute.
• If any clause is found unenforceable, the remaining clauses continue in full effect.
• We may update these terms from time to time. Changes apply to new engagements and, for subscriptions, from your next renewal after 30 days' notice.
